Indiana LLC Annual Report: $32 Online, Due Every Two Years
Indiana's version of the LLC annual report is the Business Entity Report, and the Secretary of State asks for it only every other year. It costs $32 on INBiz or $50 on paper (State Form 48725).
The first report is due two years after the LLC is formed. After that it is due every other year in the anniversary month of formation, and you have until the end of that month before it is past due. INBiz lists no late fee, but a report that is never filed leads to administrative dissolution.
Indiana report at a glance
| Item | Fee | Deadline |
|---|---|---|

| Business Entity Report (paper) | $50 | End of anniversary month, every 2 years |
| Late fee | None listed | |

| Reinstatement | Not stated | Clearance from the Department of Revenue first |
INBiz shows the online fee as $31 plus a $1 minimum processing fee, which together make the $32.
What the report asks for
The report shows the LLC's name (it cannot be changed on the report), its principal office, the filing year, the formation date and the registered agent, with a box confirming the agent consented. The governing person section is optional for LLCs, although at least one governing person must be on record. A member or manager signs it.
If you miss the deadline
The Secretary of State says there are no late fees. The cost of skipping the report is different: businesses that fail to file it, or fail to keep a registered agent, are administratively dissolved. A pending-dissolution letter with a deadline comes first. A dissolved business cannot conduct business in Indiana beyond applying for reinstatement, and its business name and assumed names are protected for only 120 days.
To reinstate, you first obtain a Certificate of Clearance from the Indiana Department of Revenue (Affidavit AD-19 and form ROC-1, about 4 weeks on average) and then file the Application for Reinstatement on INBiz. The reinstatement fee is not stated on the pages we reviewed.
