Indiana LLC Filing Fee: $95 Online for the Articles of Organization
Filing Articles of Organization for an Indiana LLC costs $95 online or $100 on paper. The form is State Form 49459, filed with the Indiana Secretary of State's Business Services Division. Online filing runs through INBiz with an Access Indiana account, and INBiz adds a payment processing fee at checkout of at least $1 and no more than 2.15%, which is $2.04 by card or $1.50 by e-check on a $95 filing.
Paper filings go to 302 West Washington Street, Room E-018, Indianapolis, IN 46204, with a check or money order payable to the Secretary of State. The official pages I checked do not publish a processing time or an expedite price.
Indiana LLC fees at a glance
| Filing | State fee | When |
|---|---|---|
| Articles of Organization (State Form 49459) | $95 online, $100 paper | Once, to form the LLC |
| INBiz processing fee | $1 minimum, up to 2.15% | At online checkout |
| Business Entity Report | $32 online, $50 paper | Every two years, in the anniversary month |
| Late fee | None | Missed reports lead to administrative dissolution |
| Change of registered agent (State Form 56367) | No filing fee | When the agent changes |
| Name reservation (optional) | $10 | On INBiz |
| Reinstatement | $31 in the INBiz fee calculator for an online LLC reinstatement; first a Certificate of Clearance | If the LLC was dissolved |
The first Business Entity Report is due two years after formation, and you have until the end of the anniversary month. Indiana says there are no late fees, but a business that fails to file or to keep a registered agent is administratively dissolved. A dissolved business cannot carry on business except to apply for reinstatement, and its names are protected for only 120 days.
To reinstate, first get a Certificate of Clearance from the Indiana Department of Revenue (this takes about 4 weeks on average), then file the Application for Reinstatement on INBiz.
Where these figures come from
- The Articles of Organization, State Form 49459 states "FILING FEE: $100.00" for paper; the INBiz Fee Calculator shows $95 online with the processing fee. The Secretary of State's business page and forms page link both.
- The Business Entity Report page and State Form 48725 give the $32 and $50 report fees and the two-year cycle.
- State Form 56367 is marked "NO FILING FEE" for a registered agent change.
- The administrative dissolution page says there are no late fees; the Certificate of Clearance page starts reinstatement.
- The Secretary of State's page on 2026 filing process changes covers HB 1593 and HB 1666.
How to file an Indiana LLC
- Pick a name that includes "Limited Liability Company" or an abbreviation and is distinguishable from other Indiana businesses. Use the free business search first.
- Choose a registered agent with an Indiana street address (no PO boxes). A commercial agent is listed by name only. The LLC cannot be its own agent.
- File State Form 49459 on INBiz or by mail. Since January 1, 2026, the form has a checkbox for businesses run remotely from a governing person's home that keeps the residence off the public record, and you must identify whom you are filing for.
- Keep your operating agreement private. Form 49459 has no field for it and it is not filed.
- Calendar the first report. The Business Entity Report is due two years after formation, by the end of the anniversary month.
